Legal Post-Merger Integration Tools & Templates by Phase

The legal M&A integration tools and completed templates on this page (in gold) help the Legal workstream save effort, meet critical milestones, and actively manage risks.

Pre-Close Planning. The Legal workstream begins with a kickoff meeting to align on its goals and responsibilities. The team then develops a pre-close plan that identifies the work that must be completed to consummate the transaction, including and especially the examination of the legal risks that could affect the combined company.

Day 1 and Week 1. Legal then achieves Day 1 readiness by developing a Day 1 plan that meets the legal requirements of close and fulfills the combined organization’s regulatory obligations.

Days 8 Through Day 100. After week 1, the 100-day plan guides Legal as it harmonizes contracts, integrates entities, addresses regulatory requirements, protects intellectual property, manages corporate governance and litigation, and aligns policies and processes. By Day 100, the most significant legal actions should be complete, with remaining matters assigned to specific Legal or business owners.
