The Legal workstream makes the deal official with conditions cleared, documents executed, and entities confirmed. Here are the 10 of the more important tasks in its plan for Day 1 readiness and Week 1 execution:

  1. Confirm all regulatory pre-approval conditions are satisfied — verify every closing condition and required approval is met, since none of Day 1 can happen without them.
  2. Confirm operating licenses, permits, and legal standing are valid at close — make sure the combined company is legally able to operate on Day 1.
  3. Confirm Day 1 employment status and finalize severance/CIC obligations — settle who is employed on what terms, and lock down any change-in-control payment obligations before close.
  4. Legally clear the Employee Communication Guide and confirm restrictive covenants — review the guide for legal risk and verify non-compete and non-solicitation agreements are enforceable in the relevant jurisdictions.
  5. Draft the Day 1 Legal playbook and clear the Legal Day 1 Readiness Gate — define roles, escalation paths, and decision authority, then pass the formal checkpoint confirming no unresolved blockers remain.
  6. Execute all Day 1 legal closing documents — the signatures and filings that formally complete the transaction.
  7. Confirm all legal entity structures are properly established — verify the combined entity's legal structure is correctly in place once the deal has closed.
  8. Complete Day 1 WARN Act and equivalent statutory notifications — file the legally mandated workforce notices within their required windows.
  9. Begin contract novation and assignment for required agreements — transfer the contracts that need consent, a process that starts in Week 1 and runs through Day 100.
  10. Align policies and establish a unified legal hold — harmonize employee handbooks and conduct policies, and stand up a combined document retention and legal hold policy across the entity.

When Legal does its Day 1 job well, the transaction simply closes and no one thinks twice — which is exactly the point, because the the Legal workstream's plan ensures there's nothing done to think twice about now or later.
