M&A Integration Strategy

Senior leadership should align on a set of foundational decisions that are the basis of the integration strategy before teams start developing detailed plans.  Without this executive consensus, planning efforts lack direction and integration teams can end up operating with different assumptions and pursuing different goals.

An initial step is to conduct an steering committee kickoff meeting to agree upon the value drivers, and measurable success metrics for revenue, synergies, customer retention, and employee continuity. Executives should also define the end states — the specific outcomes that signal “integration complete” for shareholders, customers, vendors, and employees. Additionally, leadership should communicate guiding principles — the criteria for integration decision-making and core messages — the basis of future communications that explain the deal's rationale.

Getting all this done before detailed planning begins is what separates integrations that accelerate value creation from those that delay or even destroy it.
