The Steering Committee's kickoff is where value drivers get agreed to, where "complete" gets defined, and where the standards for integration teams are established.
This isn't a status meeting. It's about what the deal actually needs to deliver — cost synergies through operational excellence, revenue growth through strategic capability — and how those two goals translate into work for HR, IT, Finance, Legal, Sales, Communications, and the IMO.
These nine topics anchor the agenda:
- Value drivers that justify the deal.
- Success metrics assigned by function — synergy realization, retention rates, system uptime, customer retention — so teams will know what they accountable for.
- End state examples that make "integration complete" tangible rather than aspirational.
- Guiding principles, not inspirational filler — they're the rules integration teams use to make tradeoffs without escalating every judgment call to the Steering Committee. Move fast, but never bypass a compliance control. Let managers deliver hard news before a press release does. Give every task, synergy, and risk exactly one owner. Apply the acquirer's standards from Day 1, not after a grace period. Protect customers and key talent first especially when resources are tight.
- Core messages, a single narrative for employees, customers, investors, and media, so no audience hears a different version of the story.
- Governance and RACI settle who decides what and how fast conflicts escalate, from workstream leads up through the Board.
- Pre-close data sharing rules exist for a harder reason: gun-jumping is a real legal exposure, and the deck treats it with the seriousness it deserves.
- A three-phase framework from Pre-Close through Day 100.
- A punch list of next steps due within the week, each with a named owner and a deadline.
This kickoff helps build alignment — the kind that will help workstream leads plan with confidence instead of waiting for clarification, and lets the integration move at the fast pace that success will require.
The bottom line of this meeting: ambitious timeline, tight governance, and zero tolerance for "we'll figure it out later."
