With thousands of decisions to make and many workstreams operating at once, an acquirer needs a clear post-merger integration governance model.

This deck outlines a proven approach to integration governance—from Pre-Close through Day 100. It defines the roles of the Steering Committee, Integration Management Office (IMO), and functional workstream teams. Clear lines of accountability need to be created so momentum does not stall and issues do not fall between the cracks.

The governance structure establishes who sets direction, who manages execution, and who owns delivery:

  • The Steering Committee provides executive oversight and resolves major decisions.
  • The IMO Leader drives the integration process, coordinates workstreams, and maintains visibility into progress, risks, and issues.
  • Functional leaders execute the plans and escalate challenges before they become larger problems.

The presentation also defines the operating rhythm that drives the integration forward: daily war rooms during the critical early days, weekly IMO reviews, regular Steering Committee meetings, and formal Day 30 and Day 100 checkpoints. Supporting artifacts—including the Risk Register, Executive Dashboard, Plan of Record, and Gate Reports—create transparency and accountability across the program.

The framework closes with data governance requirements, including clean room protocols, that protect confidentiality while giving teams the information needed to prepare for Day 1.

Governance is what enables an integration plan to be executed efficiently. When roles are clear and accountability is visible, the organization has the necessary control needed to capture the full value from the deal.
