- Day 1 & Week 1 Execution: Legal oversees the formal closing of the transaction, confirms the combined legal entity structure, then transitions into post-close priorities such as legal holds, WARN notifications, policy alignment, and contract novations.
- Legal Entity & Compliance: The legal foundation for Day 1 is in place, with regulatory clearances, compliance requirements, employment matters, governance documents, and privilege protections completed, while final entity structure confirmation remains on track for completion.
- Contracts & Intellectual Property: Material contracts have been reviewed, required change-of-control consents secured, intellectual property and trademarks cleared, and a roadmap established for post-close contract harmonization and assignment filings.
- Key Risks & Mitigations (Part 1): The most significant legal risks—including incomplete closing documents, ineffective legal entity structures, and delayed contract transfers—are identified, assigned owners, and supported by defined mitigation plans.
- Key Risks & Mitigations (Part 2): Remaining risks focus on leadership continuity and regulatory conditions, with validated assumptions covering retention of the acquired company's General Counsel and contingency planning for any conditional regulatory approvals.
The presentation concludes with formal confirmation that Legal is prepared to execute its Day 1 plan, giving leadership confidence that the transaction can close cleanly and operate compliantly without unnecessary legal risk.
